Try using mencoder (it's a part of mplayer).

I use it under Linux to downsample DVD episodes into a format suitable
for playing on my portable media player. I've never tried using it to
convert from MP4 however, so I don't know what issues you may have.

PS: Make sure you keep the source file around for a while, even if you
don't think you need it anymore after transcoding as not all transcoded
videos play equally well on all devices. Personal experience here. :-)
