As an update, the NDIS driver is certainly the culprit.  I "forced" it's 
install using "Add/Protocol", and it loaded successfully.  Of course, 
although I can now see a network adapter in PA, it doesn't really work - 
so Win7 must be far enough away from Win2008 Server (where I also have 
it running) to break the driver.
